TERMS & CONDITIONS FOR COOK N SERVE

INTRODUCTION
Welcome to www.cooknserve.in (the "Website"), owned and operated by Cook N Serve ("Cook N Serve", "we", "us", or "our").
These Terms & Conditions ("Terms") govern your access to and use of the Website, including all products, services, content, features, communications and transactions made available through the Website.
By accessing, browsing, registering an account, placing an order, or otherwise using the Website, you acknowledge that you have read, understood and agree to be legally bound by these Terms, together with our Privacy Policy and Return, Refund, Exchange & Cancellation Policy, each of which forms an integral part of these Terms.
If you do not agree with any part of these Terms, you must discontinue use of the Website immediately.
These Terms may be revised from time to time as set out in Section 24 (Amendment of Terms).
1. ELIGIBILITY AND ACCOUNT RESPONSIBILITY
1.1 Eligibility
To use this Website and place orders, you must:
• be at least 18 years of age; or
• access the Website under the supervision and consent of a parent or lawful guardian.
By using this Website, you represent that you have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
Users who are declared incompetent to contract under applicable law, including minors acting independently and undischarged insolvents, shall not use this Website except as permitted by law.

• harass, threaten or abuse other users or our employees;

Violation of this Section may result in immediate suspension or termination of access without prior notice and may expose the user to civil and/or criminal liability.
3. PRODUCTS AND SERVICES
3.1 Product Availability
All products displayed on the Website are subject to availability.
We reserve the right, without prior notice, to:
• discontinue any product;
• modify product specifications;
• limit quantities purchased;
• restrict sales to particular persons, geographic regions or jurisdictions.
Nothing displayed on the Website shall constitute a binding commitment to supply any product until your order has been accepted.
3.2 Product Descriptions
We make reasonable efforts to ensure that product descriptions, specifications, images and pricing are accurate.
However:
• product photographs are illustrative only;
• colours may vary depending on screen settings;
• packaging may change without notice by manufacturers;
• specifications may be revised by manufacturers;
• country of origin and manufacturer details, where legally required to be disclosed, are displayed on the relevant product listing.
Minor variations shall not constitute a defect.
3.3 Commercial and Household Products
Cook N Serve supplies both household and commercial kitchen products.
Certain commercial equipment may require:
• installation by qualified personnel;
• adherence to manufacturer's operating instructions;
• periodic servicing.
Failure to follow manufacturer recommendations may affect warranty eligibility.
3.4 Pricing
Unless otherwise stated:
• all prices are displayed in Indian Rupees (INR);
• prices are inclusive of applicable GST where legally required;
• delivery, installation or handling charges may be charged separately where applicable.
We reserve the right to revise prices without prior notice.
3.5 Pricing Errors
Despite our best efforts, pricing or product description errors may occur.
Where such an error is identified before shipment, we reserve the right to:
• cancel the order;
• refuse acceptance;
• offer the customer an opportunity to purchase at the correct price; or
• issue a full refund where payment has already been received.
3.6 Enquiries from Outside India
Customers located outside India may contact us for product quotations. Cook N Serve does not process online orders or accept online payments from outside India through the Website. Any resulting sale shall be governed by a separately agreed quotation, invoice or purchase order specifying price, delivery terms and applicable duties or taxes, and shall be subject to the customs, foreign trade and import laws of the destination country. These Terms shall apply to such transactions only to the extent not inconsistent with the specifically agreed terms.
3.7 B2B and Institutional Orders
Certain purchases are made by businesses, hotels, institutions or other commercial entities for commercial, resale or institutional use rather than personal consumption. Under Section 2(7) of the Consumer Protection Act, 2019, a person who obtains goods for resale or for any commercial purpose does not qualify as a “consumer”, and certain protections available to consumers under that Act may accordingly not apply to such transactions. Where a separate written quotation, purchase order, work order or supply agreement has been executed between Cook N Serve and a commercial or institutional buyer, the terms of that document shall prevail over these Terms to the extent of any conflict, and these Terms shall apply only to matters not expressly covered therein.
4. ORDERS AND PAYMENTS
4.1 Order Placement
Placing an order on the Website constitutes an offer by you to purchase the selected products.
Submission of an order confirmation email or acknowledgement does not constitute acceptance of your order.
An order shall be deemed accepted only when:
• the product is dispatched; or
• we expressly communicate acceptance.
4.2 Right to Refuse or Cancel Orders
Cook N Serve reserves the right, at its sole discretion, to reject, limit or cancel any order, including where:
• products become unavailable;
• pricing or technical errors occur;
• fraud is suspected;
• payment authorization fails;
• incorrect information has been provided;
• multiple orders appear intended for unauthorized resale;
• compliance with applicable law requires cancellation.
Where payment has already been received, an appropriate refund shall be processed.
4.3 Payment Methods
We currently accept payment methods displayed during checkout, including, where available:
• Credit Cards
• Debit Cards
• UPI
• Net Banking
• Digital Wallets
• Cash on Delivery (COD)
• other payment methods supported by our authorised payment partners.
Availability of payment methods may vary without notice.
4.4 Payment Authorization
By placing an order, you authorize Cook N Serve and its authorised payment partners to process payment for the total amount payable, including applicable taxes, shipping charges and other disclosed charges.
Cook N Serve does not store complete debit card, credit card or UPI credentials, and payment data is handled in accordance with applicable Reserve Bank of India guidelines on card data storage and tokenisation. Payment processing is otherwise governed by the terms of the respective payment service providers.
4.5 Billing Information
You agree to provide accurate and complete:
• billing information;
• shipping information;
• email address;
• mobile number;
• GST details (where applicable).
Failure to provide accurate information may delay processing or result in cancellation of your order.
4.6 Order Verification
For fraud prevention and customer protection, we may require additional identity verification before processing certain orders.
Failure to satisfactorily complete verification may result in cancellation of the order.
4.7 Order Cancellation by Customer
Customer cancellations shall be governed exclusively by our Return, Refund, Exchange & Cancellation Policy, which forms part of these Terms.
4.8 Invoice
A tax invoice or invoice, as applicable, will ordinarily be issued electronically and made available with your order or sent to your registered email address, subject to applicable law.
4.9 Shipping
Dispatch timelines and delivery estimates depend on logistics partner availability and serviceability of the delivery location. Estimated delivery dates are indicative only and shall not constitute guaranteed delivery commitments.
5. BILLING ACCURACY AND CUSTOMER INFORMATION
5.1 Customer Information
You agree to provide and maintain accurate, current and complete information relating to your purchases, including your name, billing address, shipping address, email address, phone number and GST details (where applicable).
You shall promptly update such information to ensure successful order processing, delivery and customer communication.
5.2 Verification of Information
Cook N Serve reserves the right to verify any customer information submitted through the Website and may request additional documentation where reasonably required to prevent fraud, comply with applicable law or complete order processing.
Failure to provide the requested information may result in delay, suspension or cancellation of the order.
5.3 Business Purchases
Where purchases are made on behalf of a company, partnership, proprietorship, institution or any other business entity, the person placing the order represents that they are duly authorised to bind such entity to these Terms.
6. INTELLECTUAL PROPERTY RIGHTS

Such content is protected under applicable copyright, trademark and intellectual property laws.
6.2 Limited Licence
Subject to these Terms, Cook N Serve grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Website solely for lawful personal or internal business purchasing purposes.
No ownership rights are transferred.
6.3 Restrictions
Without our prior written consent, you shall not:
• copy, reproduce or republish Website content;
• commercially exploit any material;

• reverse engineer any software;

6.4 Trademark Rights

7. USER CONTENT, REVIEWS AND FEEDBACK
7.1 User Submissions
Where the Website permits submission of reviews, ratings, photographs, videos, comments, testimonials or other materials (“User Content”), you remain responsible for the content you submit.
You represent and warrant that:
• you own or possess all necessary rights;
• your submission is truthful;
• it does not violate any law;
• it does not infringe any third-party rights.
7.2 Licence Granted
By submitting User Content, you grant Cook N Serve a perpetual, worldwide, irrevocable, royalty-free, transferable and sublicensable licence to use, reproduce, publish, modify, adapt, distribute, display, translate and promote such content in any media for lawful business purposes without additional approval or compensation. This licence is granted without prejudice to any moral rights you may hold under the Copyright Act, 1957.
7.3 Prohibited Content
Users shall not upload content that:
• is unlawful;

• obscene;
• threatening;
• abusive;
• discriminatory;
• fraudulent;
• misleading;
• infringes intellectual property rights;
• violates privacy rights;
• promotes illegal activities;

7.4 Moderation
Cook N Serve may, but is under no obligation to, review, monitor, edit, reject or remove any User Content at its sole discretion without prior notice. Failure to remove any content shall not imply approval.
7.5 Feedback
Any ideas, suggestions, recommendations, improvements or business proposals voluntarily submitted to Cook N Serve may be used without restriction or compensation unless otherwise agreed in writing.
7.6 Content Takedown
Upon receiving actual knowledge, by way of an order from a court of competent jurisdiction or a notification from an appropriate government agency, that any User Content is unlawful, Cook N Serve shall remove or disable access to such content within the timelines prescribed under the Information Technology Act, 2000 and rules made thereunder.
8. THIRD-PARTY SERVICES AND LINKS
8.1 Third-Party Services
The Website may integrate or provide access to third-party service providers including payment gateways, courier and logistics providers, SMS and email service providers, analytics services, customer support platforms and installation partners. Such services operate independently of Cook N Serve.
8.2 Third-Party Websites
The Website may contain links to external websites operated by third parties, provided solely for user convenience. Cook N Serve does not endorse or guarantee the accuracy, security or availability of third-party websites and shall not be responsible for their content, services or practices. Users access such websites entirely at their own risk.
8.3 Third-Party Terms
Your dealings with third-party providers shall be governed exclusively by their own terms, privacy policies and conditions. Cook N Serve shall not be liable for disputes arising between you and any third-party provider.
9. PRIVACY AND DATA PROTECTION
Your use of the Website is subject to our Privacy Policy, which forms an integral part of these Terms. Your personal data is processed in accordance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and rules made thereunder.
Our Privacy Policy explains what personal information we collect, how we process and protect it, how cookies and analytics technologies are used, and your rights regarding your personal data. By using this Website, you acknowledge that you have read and accepted our Privacy Policy.
10. ELECTRONIC COMMUNICATIONS
By accessing the Website or communicating with us electronically, you consent to receive communications from Cook N Serve through email, SMS, WhatsApp, telephone, Website notifications or other electronic means permitted by law. Such communications shall satisfy any legal requirement that communications be in writing.
11. PROMOTIONAL COMMUNICATIONS
Where permitted by applicable law and subject to your communication preferences, Cook N Serve may send promotional communications relating to products, offers, events or services, in accordance with the Telecom Commercial Communications Customer Preference Regulations and the National Do Not Disturb (NDNC) framework, where applicable.
You may opt out of marketing communications at any time by following the unsubscribe instructions or contacting our customer support. Transactional communications relating to orders, payments, deliveries, warranties or legal notices may continue to be sent notwithstanding your marketing preferences.
12. MANUFACTURER WARRANTIES AND PRODUCT SUPPORT
12.1 Manufacturer Warranty
Certain products sold through the Website are manufactured by third-party brands and may carry a manufacturer's warranty. Where applicable, warranty terms, coverage, exclusions and duration are governed by the manufacturer's warranty policy, and claims may require inspection or approval by the manufacturer or its authorised service centre.

12.3 Product Support
Where reasonably possible, Cook N Serve may assist customers in coordinating warranty claims or service requests with authorised manufacturers or service partners. Such assistance does not make Cook N Serve responsible for the manufacturer's warranty obligations.
13. DISCLAIMER OF WARRANTIES
To the maximum extent permitted under applicable law, the Website, its content, products and services are provided on an “AS IS” and “AS AVAILABLE” basis.
Except as expressly stated in writing or required by applicable law, Cook N Serve makes no representations or warranties, whether express, implied or statutory, regarding:
• uninterrupted or error-free access to the Website;
• the accuracy, completeness or currency of Website content;
• merchantability or fitness for a particular purpose;
• compatibility with every device or browser;
• non-infringement;
• that defects will be corrected, or that the Website is free of viruses or malicious code;
• that products will meet every customer's individual expectation.
Users access and use the Website entirely at their own risk. Nothing in this Section excludes or limits any statutory rights, guarantees or remedies available to consumers under the Consumer Protection Act, 2019, the Sale of Goods Act, 1930, or any other applicable law that cannot lawfully be excluded or limited.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Cook N Serve, its partners, directors, employees, officers, representatives, agents, affiliates and service providers shall not be liable for indirect, incidental, consequential, exemplary or punitive damages, including loss of profits, revenue, business, or goodwill, loss of data, or losses arising from delays beyond our reasonable control.
Our aggregate liability arising from any claim relating to a product or Website shall not exceed the actual amount paid by you for the relevant product giving rise to the claim.
This limitation shall not apply to, and nothing contained herein excludes or limits, liability arising from fraud, wilful misconduct or gross negligence on the part of Cook N Serve, or any other liability which cannot lawfully be excluded or limited under applicable Indian law, including rights available under the Consumer Protection Act, 2019.
15. INDEMNIFICATION
You agree to indemnify, defend and hold harmless Cook N Serve, its proprietors, partners, directors, officers, employees, affiliates, authorised representatives and service providers from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms or violation of applicable law, misuse of the Website, infringement of intellectual property or third-party rights, or User Content submitted by you.
16. SUSPENSION AND TERMINATION
16.1 Termination by Customer
You may discontinue use of the Website at any time. Termination shall not affect obligations arising prior to termination.
16.2 Suspension or Termination by Cook N Serve
We reserve the right, without prior notice, to suspend or terminate your access where these Terms are violated, fraud is suspected, unlawful activity is detected, payment abuse occurs, Website security is threatened, required by law, or Website operations are discontinued.
16.3 Effect of Termination
Provisions relating to intellectual property, the User Content licence, privacy, disclaimers, limitation of liability, indemnification, governing law, dispute resolution and payment obligations shall continue to apply after termination to the extent relevant.
17. FORCE MAJEURE
Cook N Serve shall not be liable for any delay or failure in performance caused directly or indirectly by events beyond our reasonable control, including natural disasters (such as floods, fires or earthquakes), epidemics or pandemics, strikes or labour disputes, transportation, internet or telecommunications disruptions, cyber-attacks, governmental action, war, civil unrest, or any other force majeure event. Performance shall resume as soon as reasonably practicable after the relevant event ceases.
18. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable law, the courts at Siliguri, West Bengal shall have exclusive jurisdiction over disputes arising from or relating to these Terms or use of the Website.
Before commencing legal proceedings, both parties agree to make reasonable efforts to resolve disputes amicably through written communication.
Nothing contained herein restricts a consumer's right to file a complaint before the appropriate consumer forum or commission having jurisdiction under Sections 34 and 47 of the Consumer Protection Act, 2019, including a forum situated at the consumer's place of residence, or any other statutory remedy available to consumers under applicable law.

We will acknowledge receipt of your complaint within 48 (forty-eight) hours and endeavour to resolve it within 1 (one) month from the date of receipt.
20. SEVERABILITY
If any provision of these Terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be interpreted to the maximum extent permissible consistent with applicable law.
21. WAIVER
Failure by Cook N Serve to enforce any provision of these Terms shall not constitute a waiver of any right or remedy. Any waiver shall be effective only if made expressly in writing by an authorised representative of Cook N Serve.
22. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Return, Refund, Exchange & Cancellation Policy, and any other policies expressly incorporated by reference, constitute the complete agreement between you and Cook N Serve relating to your use of the Website and supersede all previous communications, understandings and agreements concerning the same subject matter.

24. AMENDMENT OF TERMS
Cook N Serve reserves the right to amend these Terms at any time to reflect changes in business practices, operational requirements or applicable law. Revised Terms shall become effective upon publication on the Website unless otherwise stated. Continued use of the Website following such publication constitutes acceptance of the updated Terms.
